1. Terms of
Service (TOS)

1. Introduction & Acceptance
These Terms of Service (the “Terms”) are a legally binding
agreement between you and Logerix Ltd (Company No. 15967016), registered office
6 Steele Road, London E11 3JA, United Kingdom ("Logerix", “we”, “us”,
or “our”). By accessing or using the
Logerix online ticket‑sales platform (the “Platform”) you accept these Terms on behalf of yourself or the entity you
represent. If you do not agree, do not
use the Platform.
2. Definitions
Organizer – an individual or entity that lists and sells
tickets to an Event through the Platform.
User – anyone who visits, browses, or purchases tickets via
the Platform (“Attendee”, “Customer”).
Event – a performance, activity, attraction, or service for
which tickets are offered by an Organizer.
Merchant of Record (MoR) – the Organizer, who receives funds
directly via Stripe and is the contractual seller of tickets.
Service Fees – booking or platform fees retained by Logerix
for facilitating the transaction.
3. Account Registration & Eligibility
You must be 18 years or older and have legal capacity to
contract. You agree to provide accurate
information and keep credentials secure.
You are responsible for all activity under your account.
4. Our Role vs. the Organizer
Logerix provides software that enables Organizers to create
branded ticket portals. We are not a
ticket seller: the sales contract is between you and the Organizer, who is the
MoR and sets prices, taxes, and refund rules.
Payments flow straight into the Organizer’s Stripe Connect account; we
never hold consumer funds.
5. Ticket Purchase Process
Select tickets and review the checkout summary.
Enter required details and agree to these Terms (and any
Organizer‑specific terms).
Complete payment through Stripe’s secure payment gateway.
Upon successful payment, an electronic ticket or
confirmation is issued by email and in your account dashboard.
A binding contract is formed between you and the Organizer
when the payment is confirmed.
6. Pricing, Fees & Taxes
Ticket face price and applicable VAT are set by the
Organizer. Logerix may add a clearly
disclosed Service Fee, shown before checkout.
VAT invoices are issued by the Organizer. You are responsible for any additional taxes
levied by your jurisdiction.
7. Payment, Refunds & Chargebacks
Payments are processed by Stripe. Logerix stores no card data. Refunds and chargebacks are handled by the
Organizer through Stripe; Logerix only supplies the technical interface. Service Fees are non‑refundable
except where required by law.
8. Event Changes & Cancellations
If an Organizer changes or cancels an Event, the Platform
automatically emails affected attendees based on the Organizer’s status
update. Remedies (refund, reschedule,
voucher) are solely at the Organizer’s discretion. Logerix is not liable for Organizer‑initiated
changes.
9. User Conduct & Acceptable Use
You agree not to:
Use bots, scripts, or automated means to buy tickets.
Engage in fraud, chargeback abuse, or ticket scalping,
unless expressly permitted by the Organizer.
Violate any Event‑specific rules notified by the
Organizer.
Interfere with the Platform’s security, attempt to access
source code, or conduct penetration testing without consent.
Logerix reserves the right to suspend or terminate accounts
breaching this clause.
10. Intellectual Property
The Platform (software, design, trademarks, and content) is
owned by Logerix or its licensors.
Organizers grant us a licence to display their Event content for ticket‑selling
purposes. Users receive a limited, non‑transferable
licence to access the Platform for personal, non‑commercial use. All rights not expressly granted are
reserved.
11. Third‑Party Links & Integrations
The Platform contains links or integrations with third‑party
services (e.g., Stripe, Google, Facebook, Cloudflare). Logerix does not control and is not
responsible for third‑party content, privacy practices, or availability.
12. Disclaimers & Limitation of Liability
The Platform is provided “as is” without warranties of any
kind. To the fullest extent permitted by
law, Logerix’s total liability for any claim arising out of or relating to a
transaction is limited to the Service Fees we received for that
transaction. We are not liable for
indirect, incidental, consequential, or punitive damages.
13. Indemnification
You agree to indemnify and hold Logerix (and our directors,
employees, and agents) harmless from any claim, loss, or expense arising out of
your breach of these Terms, misuse of the Platform, or infringement of third‑party
rights.
14. Termination & Suspension
We may suspend or terminate your access immediately if we
believe you have breached these Terms, pose a security risk, or we are required
to do so by law. Clauses relating to
intellectual property, liability, and dispute resolution survive termination.
15. Changes to Service or Terms
We may modify these Terms or materially alter the Platform
with 14 days’ notice via email or in‑dashboard message. Continued use after the notice period
constitutes acceptance. If you object,
you must stop using the Platform before the changes take effect.
16. Governing Law & Dispute Resolution
These Terms are governed by English law. Before starting court proceedings, either
party may request good‑faith mediation through an accredited UK ADR provider
(e.g., CEDR). If mediation is declined
or fails, the courts of England & Wales have exclusive jurisdiction.
